Agreement to these terms

These terms are an agreement between you and Hayhurst Medical Technologies, Inc. (“HMT,” “we,” “us”), a Delaware corporation based in Kansas City, Missouri. If you use the website on behalf of an organization, you agree to these terms for that organization. If you do not agree, please do not use the website.

What this website is

This website gives general information about HMT, our team, our research and the software we are building. It is not a clinical service, it does not provide HMT's software products, and nothing on it is an offer to sell any product or service. Access to HMT's software is available only under a separate written agreement.

No medical advice

Content on this website is for general information. It is not medical advice and is not a substitute for the judgment of a qualified health-care professional. Using the website does not create a clinician–patient relationship with HMT or anyone at HMT. If you have a medical emergency, call 911 or your local emergency number.

Research and development status

HMT's software is in research and development. Research use only — not for clinical decision-making. Descriptions of what the software does or is designed to do describe research prototypes and product intent; they are not claims of clinical performance, and they are not validated for use in patient care.

HMT's patent-pending HIPEC drug-delivery device is in development through grant-funded work. Device in development. Not FDA cleared or approved. Not available for sale.

Forward-looking statements

Statements about our plans, products, partnerships, research and expectations are forward-looking. They depend on risks and uncertainties, including research results, regulatory requirements, financing and market conditions, and actual results may differ materially. We have no obligation to update them.

Using the website

You may use the website for lawful purposes. You agree not to:

• attack, overload or interfere with the website or its security, or probe it for vulnerabilities without our written permission;
• try to gain unauthorized access to any system, account or data;
• send us protected health information or other information about a patient;
• impersonate anyone or misrepresent your affiliation with any person or organization;
• use the website to send spam or malicious code;
• use content from the website in a way that is false or misleading about HMT, including by attributing to HMT claims it does not make.

Search engines and AI assistants

Search engines and AI assistants are welcome to read, index and summarize the website, following robots.txt. llms.txt gives an overview of the site for AI systems, including what should not be inferred about HMT. An assistant may help a person request a briefing on their behalf and with their consent, provided the information it submits is accurate. A request made with an assistant's help is treated as made by the person on whose behalf it was sent, and it should indicate that an assistant helped, as llms.txt describes.

Information you send us

When you contact us, you are responsible for the accuracy of what you send and for having the right to send it. Our Privacy notice explains how we handle it. If you send us ideas, suggestions or feedback, we may use them without obligation to you, and we are not required to keep them confidential unless we have agreed to in writing.

Intellectual property

The website and its content, including text, graphics, illustrations, code, the HMT name, the Close Set H mark and other logos, are owned by HMT or its licensors and are protected by intellectual-property laws. You may view the website and share links to it. Journalists may use the logos in our press kit under its usage guidelines. Any other use requires our written permission. Nothing on the website grants a license to any HMT patent, patent application or trademark.

Third-party websites

Links to other websites are provided for convenience. We do not control those websites and are not responsible for their content, policies or practices.

Disclaimer of warranties

The website is provided “as is” and “as available.” To the fullest extent the law allows, HMT disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy. We do not promise that the website will be uninterrupted, error-free or free of harmful components.

Limitation of liability

To the fullest extent the law allows, HMT and its officers, directors, employees and advisers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill, arising from your use of the website. Our total liability for any claim relating to the website is limited to one hundred US dollars (US$100). Some jurisdictions do not allow these limitations, so they may not apply to you.

Indemnification

You agree to indemnify and hold HMT harmless from claims, losses and expenses, including reasonable legal fees, arising from your misuse of the website or your breach of these terms.

Governing law and disputes

These terms are governed by the laws of Missouri, without regard to its conflict-of-law rules. Any dispute relating to the website or these terms will be brought exclusively in the state or federal courts located in Jackson County, Missouri, and you consent to their jurisdiction. Either party may seek injunctive relief to protect its intellectual property in any competent court.

Separate agreements

Pilots, software subscriptions, research collaborations, business associate agreements and data use agreements are governed by their own written terms. If those terms conflict with these, those terms control for their subject matter.

Changes and termination

We may change these terms by posting a revised version on this page with its effective date; continued use of the website after that means you accept the change. We may change, suspend or discontinue any part of the website, and we may restrict access for anyone who breaches these terms.

General terms

If any part of these terms is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these terms; we may assign them in connection with a merger, acquisition or sale of assets. These terms, with the Privacy notice and Cookie policy, are the entire agreement about the website.
